These Terms & Conditions govern your use of the Systems & Sage website and services. By accessing this site or engaging my services, you agree to these terms in full.

1. About Systems & Sage

Systems & Sage is a Notion consultancy operated by Aadityaa Shekhar, based in Zirakpur, Punjab, India. I provide custom Notion workspace builds, systems consultations, automation setup, and digital template products for business owners, service providers, creators, and individuals.

I offer the following categories of work:

The scope, timeline, and deliverables for each engagement are defined at the time of booking and confirmed in writing via email or a formal freelance agreement.

3. Eligibility

By using this website or purchasing a service, you confirm that you are at least 18 years of age and legally capable of entering into a binding agreement.

4. Bookings & Agreements

All service engagements begin with a written agreement (email confirmation, formal proposal, or signed freelance agreement). No work commences until a deposit or full payment is received per the terms in that agreement. Verbal commitments are not binding.

Each service package includes a defined number of revision rounds as outlined in the proposal (typically 2 rounds for standard engagements). Additional revisions outside this scope will be quoted and billed separately.

7. Timelines & Delays

Estimated timelines are provided in good faith as working estimates. My ability to meet agreed schedules depends on you providing timely feedback, approvals, and content as requested.

Any delay caused by you - including late feedback, change of direction, or deviation from the agreed process - will extend the delivery timeline proportionally. Such delays do not constitute a breach of agreement on my part.

If a project is placed on hold for more than 30 consecutive days, I may charge a suspension fee to resume work. Projects abandoned without communication for more than 60 days may be considered terminated.

8. Communication Channels

All official project communication - including feedback, approvals, scope changes, and deliverable sign-off - must happen via email. Requests or instructions sent through informal channels (Instagram DMs, WhatsApp messages, social media comments, etc.) are not considered binding and may not be actioned.

This protects both of us by keeping a clear, searchable record of every decision made during the project.

9. AI & Tools Disclosure

Systems & Sage may use AI-powered tools and automation platforms (including but not limited to n8n, Zapier, Make, GPT-based tools, and Apify) as part of the workflow to enhance efficiency, automate repetitive tasks, and deliver higher-quality systems. All final deliverables are reviewed and refined by me personally before handover.

If your project involves setting up automations using these tools, any associated third-party subscription costs are your responsibility unless otherwise agreed in writing.

10. Intellectual Property

All content on this website - including text, graphics, templates, and branding - is owned by Systems & Sage / Aadityaa Shekhar unless otherwise stated. You may not reproduce, distribute, or use my content without prior written permission.

Upon full payment for a custom build, you receive a non-exclusive licence to use the delivered Notion workspace for your own business operations. You may not resell, redistribute, or share the delivered work as a template or product.

I retain the right to reuse generic frameworks, structures, and non-confidential system logic for future projects. I also retain all preliminary work, exploratory concepts, rejected ideas, and draft iterations.

11. Portfolio & Attribution

I retain the right to showcase non-confidential portions of completed work in my portfolio, on my website, across social media channels, and in professional contexts, unless otherwise agreed in writing.

12. Confidentiality

Both parties agree to keep confidential all proprietary, sensitive, and project-related information. This obligation survives termination of any agreement.

Team members and contractors engaged by Systems & Sage are bound by confidentiality and intellectual property agreements.

13. Termination

Either party may terminate an engagement with written notice (typically 3-7 days depending on the agreement). In the event of termination:

Neither party shall be held in breach of this agreement for any failure or delay in performance caused by events beyond their reasonable control, including but not limited to natural disasters, internet outages, power failures, government actions, pandemics, or civil unrest. The affected party will notify the other party as soon as reasonably possible and make efforts to resume performance.

15. Limitation of Liability

Systems & Sage is not liable for any indirect, incidental, or consequential loss arising from the use of my services or deliverables. My total liability is limited to the amount paid for the specific service in question.

16. Governing Law

These terms are governed by the laws of India. Any disputes shall be subject to the jurisdiction of the courts of Punjab, India.

17. Changes to These Terms

I reserve the right to update these Terms & Conditions at any time. Continued use of the website after changes constitutes acceptance.
